What''s it "D3DXMATRIXSHADOW", and how to render result of it? I need to create matrix for objects, wich located in spotlight? And when rerender them with use MatrixShadow as transformation matrix? Then how to make them looks like shadow?

You need to play with the materials. Instead of rendering the object with its original materials, render the whole object with a single material that has a black color with some alpha to make it transparent.
