Can someone please help by explaining the steps I would take to make a 3D man for a football game(small man from an almost overhead view). Would i make this in 3D studio Max? If so how do i then use this with Direct X and my current C++ program using sprites? Thanks very helping clear this up !

Well, if you want to display the character as a 2D sprite, just render it in 3D Studio, then display the resulting image(s) in your game as a texture on a quad (or whatever the DX equivalent is). See the recent article here on GameDev discussing 2D in Direct3D, among others.
