where is depends tool in vs2003?

It ought to be in C:\[Program Files]/[Programme]/[Whatever your language uses]\Microsoft Visual Studio .NET 2003\Common7\Tools\Bin.

To get the View Dependencies in the explorer context menu you have to open it manually once and add ".exe" and ".dll" to the watched extensions.

it is not there, I think it is not contained in vs2003.net. am I right?

I've always seen it as part of the Windows Platform SDK. But yes, you can just download it for yourself at the link posted before
